VFD Group Plc will pay about N3.17 billion as final dividend for the financial year ended December 31, 2024.

The company proposed a final dividend of N2.50 kobo per share payable to shareholders whose names appear in the register of members as at the close of business on April 22.

VFD Group has shares outstanding of 1.266 billion units each valued at N51.9 as at Thursday April 3. The proposed dividend amounts to N3.17billion looking at the company’s shares outstanding.

VFD Group Plc is a proprietary investment and operates through its portfolio companies to provide alternative funding and investment channels that are accessible to individuals, small businesses and operators.

Its investment portfolio cuts across different industries, particularly Financial services, Capital Market, Technology, Security Services, Banking, Remittance, Real Estate and Hospitality, Leasing, Media and Entertainment, Infrastructure and Energy.

In the financial year ended December 31, 2024, the Group reported profit before tax (PBT) of N11.249 billion as against loss before tax (LBT) of N1.021billion in 2023. Its profit for the year stood at N8.693billion compared with N750.441million loss in year 2023.

The company has also proposed bonus issue of 5 (five) new shares for every 1 (one) share. The register of members will be closed from April 23 to April 28 (both dates inclusive). The qualification date is April 22.

The payment date is on May 8, 2025 and dividends will be paid electronically to shareholders whose names appear on the register of members as at April 22 2025 and who have completed the e-dividend registration and mandated the Registrar to pay their dividends directly into their bank accounts.

The Group’s significant shareholders (5 percent and above) as at December 31, 2024 are:

Osnon Capital Limited 242,207,190 units (19.12 percent)

Jotani Investments Limited 100,362,270 units (7.92 percent)

Anchoria Asset Management Limited 74,976,455 units (5.92 percent)

Bilinear Limited 72,308,240 units (5.71 percent)

Adewumi Mobolaji 71,105,150 units (5.6 percent)

VFD Group Plc was originally incorporated as ViadazFD Limited in July 2009. The Company subsequently changed its name to VFD Group Limited in February 2016. VFD Group Limited was converted to a Public Company and the name was changed to VFD Group Plc following a special resolution passed by the Members in General Meeting on January 28, 2019 to broaden its shareholder base and further enhance its ability to raise required capital for growth and expansion.

VFD Group Plc carries on the business of a proprietary investment company either in its name or the name of any nominee in accordance with its Memorandum and Articles of Association.

VFD Group Plc following a special resolution of Members in the General Meeting on May 25, 2023, deregistered from National Association of Securities Dealers OTC(NASD) on September 28, 2023, and was listed by introduction on the main board of Nigerian Exchange Limited (NGX).

Earlier this year, VFD Group board approved the Company’s full divestment of 343,546,646 ordinary shares of its holdings in Atiat Limited. The divestment of its 57.26percent stake in Atiat Limited, a key subsidiary, was made in a deal valued at over N7 billion.

The Group said this decision follows a written resolution of its Board of Directors pursuant to Section 289(8) of the Companies and Allied Matters Act 2020, dated Tuesday, February 4, 2025.
